Section 01
Acceptance of Agreement
These Terms & Conditions govern all professional services provided by Artisan Tee, including website development, custom software solutions, UI/UX design, SEO optimization, digital marketing strategies, and related technology services.
This agreement becomes effective once any of the following events occurs:
- The client approves a proposal, quotation, or service agreement.
- The client completes a partial or full payment for any Artisan Tee service.
- The client provides access to websites, software platforms, accounts, or required business resources.
- The client confirms the start of the project through written or verbal approval.
Specific project details including scope, timelines, deliverables, and service fees may be described in individual proposals or contracts, which become part of these Terms & Conditions.
Section 02
Definitions
For the purpose of this agreement, the following terms have the meanings described below:
- "Artisan Tee", "we", "our", or "us" refers to Artisan Tee, including its employees, developers, designers, contractors, and authorized partners.
- "Client", "you", or "your" refers to any individual, company, organization, or business entity requesting or using Artisan Tee services.
- "Services" includes all website development, software engineering, SEO optimization, digital marketing solutions, consulting, maintenance, and technical support.
- "Project Agreement" means any proposal, contract, quotation, email confirmation, or written document describing the project scope, timeline, deliverables, and pricing.
- "Deliverables" refer to completed work created for the client, including websites, applications, designs, documents, reports, or marketing assets.
- "Confidential Information" includes private business data, strategies, customer records, technical information, or any non-public materials shared during cooperation.
- "Intellectual Property" means all copyrights, source code, designs, concepts, frameworks, systems, branding assets, and creative materials developed or used during the project.
- "Third-Party Services" refer to external platforms or tools such as hosting providers, analytics tools, CMS platforms, payment systems, advertising networks, or other services integrated into a project.
Section 03
Scope of Services
Artisan Tee provides digital technology services based on the scope, requirements, timeline, and deliverables defined within each project proposal, quotation, or service agreement.
3.1 Project Initiation
Project development will begin after the required agreement approval, initial payment (if applicable), and receipt of all necessary access, documents, and materials from the client.
3.2 Service Modifications
Any request to add, remove, or modify project requirements after approval must be submitted for review. Changes that affect the project timeline, resources, or workload may require additional costs and a revised delivery schedule.
3.3 Third-Party Platforms & Tools
Some projects may require the integration or use of third-party services such as hosting providers, CMS platforms, payment gateways, analytics tools, marketing platforms, or external software solutions.
- Third-party subscription costs or licensing fees are separate from Artisan Tee service charges unless otherwise stated.
- Artisan Tee is not responsible for changes, limitations, outages, or policy updates made by external platforms.
- Clients are responsible for maintaining ownership and compliance with the terms of any third-party accounts used within their projects.
3.4 External Specialists
Artisan Tee may collaborate with qualified developers, designers, marketing specialists, or technical partners when necessary to ensure successful project completion. All outsourced contributions remain managed under Artisan Tee’s quality standards.
Section 04
Client Responsibilities
The quality and success of every project depend on active collaboration between Artisan Tee and the client. The client agrees to fulfill the following responsibilities:
- Provide accurate business information, project requirements, and all necessary resources needed for service delivery.
- Grant timely access to websites, hosting accounts, software systems, analytics platforms, or other required tools.
- Assign a representative who has authority to review work, approve deliverables, and communicate project decisions.
- Provide feedback, revisions, and approvals within the agreed timeframe to prevent unnecessary project delays.
- Ensure that all logos, images, documents, content, and materials provided to Artisan Tee are legally owned or properly licensed.
- Inform Artisan Tee about any significant changes in business strategy, branding, target audience, or project objectives.
- Respect agreed project schedules, communication procedures, and payment obligations throughout the collaboration.
Project timelines may be adjusted if delays occur due to missing information, delayed approvals, restricted system access, or failure to provide required resources from the client side.
Section 05
Pricing & Payment Terms
5.1 Service Pricing
All service costs are specified within the approved proposal, quotation, or project agreement. Prices may vary depending on project complexity, features, technology requirements, and service duration.
5.2 Payment Structure

- Service suspension may occur until overdue payments are completed.
- Additional administrative fees may apply where permitted under applicable laws and agreements.
- Collection or legal costs resulting from unresolved payments may be the responsibility of the client.
5.4 Cancellation & Refund Policy
Payments made for completed work, consultation services, or resources already invested in a project may not be refundable. If a project is cancelled after development has started, the client may be responsible for payment for all completed stages and delivered work.
5.5 Pricing Updates
Artisan Tee may adjust service pricing for future agreements, renewals, or long-term service contracts. Clients will receive reasonable notice before any pricing changes take effect.
Section 06
Intellectual Property Rights
6.1 Ownership of Final Deliverables
After full payment has been successfully completed, the client will receive ownership rights to the final approved deliverables specifically created by Artisan Tee, including website designs, custom software interfaces, graphic materials, and approved digital assets.
6.2 Artisan Tee Proprietary Materials
Artisan Tee retains ownership of all existing technologies, development frameworks, methodologies, templates, reusable code components, internal systems, and creative processes developed independently before or outside the client project.
- Custom development tools, reusable modules, and proprietary frameworks.
- Pre-existing designs, templates, libraries, or software resources.
- Internal workflows, strategies, and technical methodologies.
- Any unfinished work or materials for which full payment has not been received.
6.3 Client-Provided Content
The client confirms that all logos, images, documents, trademarks, content, and materials provided to Artisan Tee are legally owned or properly licensed. The client accepts responsibility for any claims arising from unauthorized use of third-party intellectual property.
6.4 Portfolio & Marketing Rights
Unless a separate confidentiality agreement states otherwise, Artisan Tee may showcase completed projects, design samples, case studies, and publicly available work within our portfolio, website, and marketing materials.
Section 07
Confidentiality & Information Protection
Both Artisan Tee and the client agree to protect all confidential information exchanged throughout the project and use such information only for the purpose of fulfilling the agreed services.
- Confidential information shall not be shared with unauthorized third parties without prior permission.
- Access to private business information will be limited to authorized team members, contractors, or specialists involved in project delivery.
- Appropriate security measures will be implemented to protect sensitive data from unauthorized access, misuse, or disclosure.
- Any discovered security incidents or unauthorized disclosures will be communicated and addressed appropriately.
Confidentiality responsibilities remain effective even after the completion or termination of a project for a reasonable period as required by applicable agreements and laws.
Confidentiality obligations do not apply to information that is publicly available, independently developed without access to confidential materials, or required to be disclosed by legal authorities.
Section 08
Service Performance & Result Disclaimer
Artisan Tee is committed to providing professional technology, website development, SEO, and digital marketing services using industry best practices. However, certain outcomes may depend on factors beyond our direct control.
8.1 No Guaranteed Business Results
While we aim to improve digital performance, business growth, user engagement, and online visibility, Artisan Tee does not guarantee specific outcomes such as:
- Exact search engine rankings or specific SEO positions.
- Guaranteed increases in website traffic, sales, leads, or revenue.
- Performance results affected by market competition, customer behavior, or external platform updates.
- Continuous availability or policies of third-party platforms, software, or online services.
All forecasts, recommendations, performance estimates, and strategic suggestions provided by Artisan Tee are based on professional experience and available data. They should be considered guidance rather than guaranteed contractual results.
8.2 Estimated Project Timelines
Project schedules, delivery dates, and development milestones are estimated based on the information available at the start of the project. Delays caused by additional requests, late approvals, missing materials, or external service interruptions may result in timeline adjustments.
Section 09
Limitation of Liability
To the maximum extent permitted by applicable laws, Artisan Tee’s total liability arising from any claim, dispute, or issue related to our services shall be limited to the amount paid by the client for the specific services involved.
- Artisan Tee shall not be responsible for indirect, incidental, special, or consequential losses, including loss of profits, business opportunities, reputation, data, or revenue.
- We are not liable for issues caused by incorrect information, delayed approvals, unauthorized modifications, or misuse of deliverables by the client or third parties.
- Artisan Tee is not responsible for interruptions, failures, or limitations caused by third-party platforms, hosting providers, software vendors, payment gateways, or external services beyond our control.
- Service disruptions caused by circumstances outside our reasonable control, including natural disasters, cyberattacks, internet failures, governmental actions, or other force majeure events, shall not be considered a breach of this agreement.
Some regions may not permit certain exclusions or limitations of liability. In such cases, Artisan Tee’s liability will be restricted to the maximum extent allowed under applicable regulations.
Section 10
Client Indemnification
The client agrees to protect, defend, and indemnify Artisan Tee, its employees, developers, designers, contractors, and authorized partners against claims, damages, losses, expenses, or legal costs resulting from:
- Violation of these Terms & Conditions or any related service agreement by the client.
- Any materials, data, images, trademarks, content, or resources supplied by the client that infringe on third-party rights.
- Improper use, modification, distribution, or operation of completed websites, software, or digital assets after project delivery.
- The client’s failure to comply with applicable laws, industry regulations, or platform policies.
- Any claims or disputes related to the client’s products, services, marketing activities, or business operations.
Section 11
Agreement Duration & Termination
11.1 Agreement Period
This agreement remains active from the date the client engages Artisan Tee’s services and continues throughout the agreed project duration, subscription period, or ongoing service relationship.
11.2 Voluntary Termination
Either Artisan Tee or the client may terminate an ongoing service agreement by providing reasonable written notice according to the terms specified within the project agreement or service contract.
11.3 Termination Due to Breach
Artisan Tee reserves the right to suspend or terminate services immediately if the client:
- Fails to complete required payments within the agreed timeframe.
- Violates important provisions of this agreement and does not correct the issue after receiving notice.
- Engages in illegal, abusive, harmful, or unethical behavior toward Artisan Tee’s team, systems, or reputation.
- Provides false information, unauthorized content, or materials that create legal or security risks.
11.4 Consequences of Termination
Upon termination of the agreement:
- All completed work and unpaid invoices become due according to the agreed payment terms.
- The client will receive final approved deliverables for which full payment has been completed.
- Both parties must continue protecting confidential information as required under this agreement.
- Any provisions related to intellectual property, payments, confidentiality, liability limitations, and legal obligations will remain effective after termination where applicable.
Section 12
Dispute Resolution
12.1 Good Faith Communication
If any disagreement, concern, or dispute arises in connection with Artisan Tee’s services, both parties agree to first attempt to resolve the matter through professional communication and mutual cooperation.
12.2 Negotiation Process
Both Artisan Tee and the client should provide clear written notice regarding any dispute and make reasonable efforts to reach a fair solution before pursuing formal legal actions.
12.3 Alternative Resolution Methods
Where appropriate and permitted by applicable law, disputes may be resolved through mediation, arbitration, or other alternative dispute resolution procedures agreed upon by both parties.
12.4 Emergency Legal Protection
Nothing in these Terms prevents either party from seeking immediate legal remedies or protective measures where necessary to prevent significant harm or unauthorized use of intellectual property.
Section 13
Applicable Laws & Jurisdiction
These Terms & Conditions shall be interpreted and enforced in accordance with the laws and regulations applicable in the region where Artisan Tee operates, unless otherwise specified in a separate written agreement.
Any legal matters that cannot be resolved through negotiation or alternative dispute resolution may be submitted to the appropriate courts or authorities with proper jurisdiction.
If any provision of these Terms & Conditions is considered invalid or unenforceable under applicable law, the remaining provisions shall continue to remain valid and effective.
Section 14
General Terms
14.1 Complete Agreement
These Terms & Conditions, together with any approved proposals, project agreements, quotations, or additional written arrangements, represent the complete understanding between Artisan Tee and the client regarding the provided services.
14.2 Updates and Changes
Artisan Tee reserves the right to revise or update these Terms & Conditions to reflect changes in our services, technology, business practices, or legal obligations. Updated versions will be published on our website when necessary.
14.3 No Waiver of Rights
Failure by either Artisan Tee or the client to enforce any provision of this agreement shall not be considered a waiver of future rights to enforce the same or other provisions.
14.4 Transfer of Rights
Clients may not transfer their contractual rights or responsibilities to another party without prior written approval. Artisan Tee may transfer service obligations as part of business restructuring, partnerships, or operational requirements when appropriate.
14.5 Independent Business Relationship
The relationship between Artisan Tee and its clients is that of independent service providers and customers. Nothing in this agreement creates a partnership, employment relationship, or joint venture.
14.6 Force Majeure
Neither party shall be held responsible for delays or failures caused by circumstances beyond reasonable control, including natural disasters, internet failures, cyber incidents, government restrictions, or other unexpected events.
14.7 Official Communications
